These are the terms of use of the platform called "Dokify" operated by Almaglobal S.L.U. (the "Platform Terms of Use", the "Platform" or "Dokify", and "AlmaGlobal", respectively) and the general conditions of contracting the services (the "General Conditions"), collectively referred to as the "Terms and Conditions". They constitute a binding legal instrument between the natural or legal person contracting the software as a service (SaaS) services linked to the Platform (hereinafter, the "Customer" and the "Services", respectively).
This document establishes the General Conditions of the services between AlmaGlobal, with registered office at Calle Proción 7, Edificio América II, Portal 4, Floors H, I, J, Madrid, 28023, registered in the Commercial Registry of Madrid in volume 29387, folio 99, page M-528963 and with Tax Identification Number B86311693, and the Client, according to the identification of the parties that appears in the particular conditions of contract (the "Particular Conditions").
AlmaGlobal is part of the Nalanda Global group of companies and, in turn, is associated with Once For All Ltd. Both entities are linked according to their corporate and operational structure.
The Terms and Conditions set forth herein, together with the Special Conditions, the obligations and responsibilities set forth in the Privacy Policy and any other agreements reached between AlmaGlobal and the Client (the "Agreement"), govern the contractual relationship between AlmaGlobal and the Client.
In addition, the Platform Terms of Use shall apply directly to any person who browses the URLs made available by AlmaGlobal or who accesses the Platform and has accepted the Platform Terms of Use as part of the contractual relationship between AlmaGlobal and the Customer (the "User").
In the absence of other specific terms or conditions, these Terms and Conditions shall also apply to the technological tools and applications made available to the Customer and/or Users by AlmaGlobal for the provision of complementary services to the main service offered through the Platform.
Without prejudice to the terms specified below, the relationship between AlmaGlobal and the Client shall be governed by the observance of current regulations on data protection, provision of information society services, outsourcing, prevention of occupational risks and prevention of money laundering, including but not limited to:
- Regulation (EU) 2016/679 (GDPR).
- Organic Law 3/2018 (LOPDGDD).
- Law 34/2002 (LSSICE).
- Law 10/2010, on the prevention of money laundering and financing of terrorism.
- Law 32/2006, regulating subcontracting in the construction sector.
- Law 31/1995, on Occupational Risk Prevention.
- Royal Decree 171/2004, on coordination of business activities.
Capitalized terms have the meaning set forth in clause 21 "Definitions".
1. Purpose and scope of the Terms and Conditions
- The conditions applicable to all Customers and/or Users registered on the Dokify platform, in relation to the different contracting plans available(see plans) are established.
- These conditions shall not apply directly to Users registered under modalities subject to specific agreed conditions; they may be applied subsidiarily if they do not contradict them.
- Since Dokify is offered as SaaS, it includes associated services essential for its correct operation, which are expressly included in this document.
- Parameterization, customization and/or integration services with third parties, subject to Special Conditions, are excluded.
- AlmaGlobal authorizes the use of and provides access to the Customer (and Users) to the Platform by way of a non-transferable, non-sublicensable, non-exclusive license for the sole purpose of enjoying the Services.
- The license is temporarily limited to the duration of the current Subscription Period, according to Particular Conditions and/or Purchase Order.
- The Purchase Order may establish a Perimeter of Use, modifiable only by means of a new written Purchase Order.
- The license is conditional upon the fulfillment of all obligations of the Customer, in particular the payment of the Purchase Order prices.
2. How to register in the Platform?
2.1 Platform Validation and Registration Procedure
- Validation by Principal Contractor: the User's registration must be validated by a previously validated organization. Process: (i) the Principal Contractor sends invitation; (ii) the User accepts and receives link by email; (iii) completes registration and accesses the Platform.
- Registration of the Company: provision of data (company name, email address of the person in charge) and reasons for registration; express acceptance of these Terms and Conditions and the Privacy Policy.
- Access and Plan Selection: choice of plan at https://app.dokify.net/app/license, subject to specific conditions and possible negotiation.
- Subcontracting Companies: subcontractors will complete their profile (data, number of workers, etc.). They will receive credentials, but will not be able to share documentation until registration is complete.
2.2 Procurement procedure
- Selection of modality: option "Contract Package", with price and VAT details. Completely electronic process from the private area.
- Acceptance of terms and conditions: by checking the box to accept the Terms and Conditions and Privacy Policy.
- Payment: via SSL secured gateway (
https://), managed by a trusted financial institution. Rates according to factors (employees, preventive mode, etc.). - Confirmation: automatic confirmation email after payment. If not received, check spam/antispam and, failing that, notify AlmaGlobal.
2.3 Platform Activation
Upon completion of registration and payment, AlmaGlobal will activate the Platform and assign roles and credentials (username and password) for secure access.
3. Description of Dokify Services
3.1 Activation and functionality
Includes account activation, User registration and assignment of access roles, under the conditions and limitations of these Terms and Conditions.
3.2 Platform Hosting
- Infrastructure: hosted on Google Cloud Platform (EU), with security, confidentiality and integrity standards. Terms: cloud.google.com/terms.
- Default storage: 256 MB per user account; expandable via the dokifyBox add-on service(see options).
3.3 Backup
Daily backups. One copy per year free of charge upon request; additional copies subject to a fee determined by AlmaGlobal.
3.4 Maintenance
Infrastructure and software maintenance to ensure proper operation. Preferably in the early morning hours and with a minimum notice of 15 days, except in case of force majeure. It does not generate compensation for unavailability derived from maintenance.
3.5 Updating and new versions
AlmaGlobal may develop and publish new versions with improvements/functionalities. Without the right of the User to demand its implementation except for regulatory obligation. It is supplemented by Clause 18.
3.6 Availability of information at the end of the contract
In case of termination, AlmaGlobal will make the information/documentation available to the User in interoperable format (CSV or XML) within a maximum of 30 working days. It does not guarantee compatibility with third party systems.
3.7 User service and technical support

3.8 Complementary services
Independent Contracting. If third parties are used, the User shall be notified at least 30 days in advance.
4. Duration and termination of the Contract
4.1 Duration
4.1.1 Subscription Period
Unless otherwise agreed in the Purchase Order, these Terms and Conditions shall apply from the beginning of the Subscription Period and as long as a Subscription Period is in progress.
4.1.2 Extensions
Automatic renewal for successive periods of the same duration, unless written notice of non-renewal is given 60 days prior to expiration.
4.2 Termination
- Causes:
- Non-renewal of the Subscription Period.
- Non-compliance with obligations following a request not remedied within 1 month; if irremediable, immediate termination. Among other things, infringement of AlmaGlobal's IP/Industrial rights (Clause 6/7 as applicable) is considered irremediable.
- Discontinuity of activity, liquidation or substantial alteration.
- Liens, foreclosures or other measures evidencing financial difficulties.
- Corporate transactions that place the Client under the control of an actual or potential competitor of AlmaGlobal.
- For causes a), c), d) and e) a written communication indicating the effective date shall be required.
- The Customer may terminate unilaterally at any time with 60 days' notice; it does not exempt the Customer from paying all amounts due until the end of the current Period and does not entitle the Customer to a refund.
- Upon termination, the Client and Users will automatically lose access to the Platform.
5. Prices and payments
- Prices and invoicing/payment conditions: according to Purchase Order.
- In automatic extension, updating by CPI (General National Index), without resulting in a lower price than that of the previous year.
- Prices are exclusive of taxes, duties and other charges unless expressly stated; each party shall bear its own charges in accordance with the law.
- Delays in payment: legal default interest + 3 points.
- AlmaGlobal may suspend or terminate Services for non-payment.
- Additional Services: independent billing; quarterly review and billing of additional quantities; possibility of consolidation in a single invoice if applicable.
6. Intellectual and industrial property
- AlmaGlobal owns all IP and Industrial rights over the Platform and related elements (code, interface, databases, manuals; trademarks, logos, trade names and distinctive signs).
- Ownership of know-how and results of works derived from the relationship with the Client (implementation developments or integrations).
- The subscription grants a limited right of use to the Perimeter of Use by license (no sale). It is forbidden to sell, rent, distribute, assign or transfer to third parties.
- Client's non-exclusive, royalty-free license to AlmaGlobal's trademarks/signs to provide Services and to mention Client as a reference (presentations, web, networks, etc.). Client may object by written notice to the address on the Purchase Order.
7. Customer Obligations
- Use the Platform and credentials in a confidential manner and in accordance with instructions for use and security, and enforce it to its Users.
- Notify unauthorized access.
- Promote good use in accordance with the law, good faith and the Terms of Use of the Platform.
- Ensure compatibility of the Platform with your systems, networks and links.
- Not to exceed the maximum number of Users fixed in the Purchase Order.
- Ensure accuracy, completeness and legality of data/materials provided and obtain necessary consents/authorizations.
- Provide AlmaGlobal with the information necessary to execute the Contract.
8. AlmaGlobal's Obligations
- Availability of the necessary human and technological resources.
- Notifying the Client of regulatory/technological changes beyond AlmaGlobal's control that may affect performance.
- Having the necessary permits, licenses and authorizations (including software).
9. Not allowed uses of the Platform
Exclusive use for its own purpose: business document management.
- Not to provide access to third parties except as provided for in the Contract.
- Do not transmit/install viruses or other harmful elements.
- Do not attempt to access restricted sections, systems or networks.
- Do not violate security or authentication measures.
- Do not modify, replicate, reverse engineer or decompile, except in legal cases.
- Do not interfere with performance or abuse it in a way that causes saturation.
- Do not extract information to develop competing product/service.
- Do not violate applicable regulations.
10. Restriction of access to the Platform
AlmaGlobal may temporarily or permanently suspend access, without liability, when:
- There is scheduled or emergency maintenance (with prior communication in the case of scheduled maintenance).
- There is reasonable suspicion of a breach of the Contract, the law or security risk.
- Required by a competent authority.
- The Customer defaults on its commitments, in particular payment commitments (in accordance with Clause 5/6 as applicable).
All of the foregoing is without prejudice to AlmaGlobal's other rights, including termination of the Agreement (see Clause 4.2).
11. Audit
- AlmaGlobal may audit at any time (at its own expense, upon reasonable notice and without substantial interference) to verify: (i) that only Authorized Users are accessing the Services, and (ii) that use is in accordance with the Agreement.
- If unauthorized access or breach is detected, AlmaGlobal may disable passwords/access mechanisms until the appropriate price and audit costs are paid.
12. Confidentiality
- Confidential Information may be shared during the term.
- Unless expressly authorized, the receiving party is obliged to: (i) keep it secret; (ii) not reproduce it; (iii) diligently guard it (at least with the same level applied to its own information); (iv) share it only with employees/collaborators who should know it; (v) use it only to fulfill the Contract; and (vi) return or destroy it when required (unless legally obliged to keep it).
- The parties shall impose these obligations on their Users, employees and collaborators.
- The economic conditions of the Purchase Order are Confidential Information.
- Confidentiality does not apply when disclosure is required by law or judicial/administrative order, notifying the other party when legally possible.
- AlmaGlobal may disclose Confidential Information to subcontractors, insurers, advisors and affiliates as necessary for the purpose of the Contract.
- Confidentiality obligations apply during the term and upon termination of the Agreement.
13. Protection of personal data
13.1 Mutual duty to inform
The processing of personal data by AlmaGlobal arising from the provision of Services is governed by this clause, by the Privacy Policy and, where appropriate, by the annexed processing contract.
13.1.1 Purpose
Processing necessary for the conclusion, execution, development, maintenance and control of the Contract; compliance with legal obligations (administrative, fiscal and accounting management); and intra-group administrative purposes.
13.1.2 Legal standing
Execution of the Contract, fulfillment of legal obligations and legitimate interest.
13.1.3 Conservation period
During performance and thereafter 6 years from termination (or longer if applicable). After that, secure destruction if there are no incidents.
13.1.4 Addressees
Group companies (legitimate interest, administrative purposes); competent authorities (legal obligation); and processors (management companies, consultants, IT, information society services) under contract.
13.1.5 International transfers
Possible transfers outside the EEA, protected by: (i) standard contractual clauses approved by the European Commission; or (ii) adequacy decisions.
13.1.6 Rights
Access, rectification, suppression, opposition, limitation, portability; via the registered address or email indicated in 13.1.7. Claim before the AEPD (www.aepd.es).
13.1.7 Responsible and contact
The responsible party is each company signatory to the Contract. AlmaGlobal's DPD: dpo.nalanda@onceforall.com.
14. Representations and responsibilities of the Client
- The Platform is not designed or tailored to individual Client requirements; the Client must verify suitability before contracting.
- The Client is responsible for the information entered by him or his Users and guarantees that it does not infringe regulations or rights of third parties and that it does not contain harmful elements.
- Indemnity: Client shall hold AlmaGlobal harmless for damages/claims/costs arising from (i) use of the Platform by Client/Users (including misuse: loss of passwords, hacks), or (ii) breach of legal/contractual obligations by Client/Users.
- Customer's limit of liability: shall not be liable for consequential damages, loss of profit, loss of data/information, loss of profits or special damages caused to third parties.
15. AlmaGlobal's representations and responsibilities
- AlmaGlobal warrants that it owns the IP/Industrial rights necessary to grant the licenses.
- The Platform is provided on an "as is" and "as available" basis, without express or implied warranties. AlmaGlobal shall not be liable, among others, for:
- Inadequacy of the Platform.
- Lack of accessibility, availability, usability or performance.
- Errors or lack of accuracy/quality of data.
- Third party intrusions or viruses in the Client's account or its systems.
- Incompatibilities with Client devices or networks.
- If the Platform or its use infringes or may infringe rights or regulations, AlmaGlobal may: (i) modify it at its expense; (ii) acquire necessary licenses; or (iii) terminate the Agreement. If there is prejudice, pro rata return. Customer will delete copies if required to do so.
- Exclusions: AlmaGlobal shall not be liable for consequential damages, penalties, lost profits, lost data/information, lost profits or special damages.
- Aggregate limit: up to the amount actually paid by the Client for the Platform in the 6 months prior to the causal event.
- Limitation does not apply in case of malice. Where the law does not allow exemption/limitation, it shall apply to the maximum extent permitted.
16. Assignment and subcontracting
- No rights/obligations may be assigned without prior written authorization from the other party. No authorization (but information) is required if the assignment is to an entity of the same group or to a third party that acquires all or a substantial part of the shares/assets/business.
- AlmaGlobal may subcontract the provision of all or part of the services.
17. Notifications
- Communications relating to the Contract shall be made in writing (post, bureaufax or e-mail) to the addresses on the Purchase Order. Letters with acknowledgement of receipt and telegrams/burofaxes/emails with proof of receipt shall be deemed to have been received.
- The parties shall promptly communicate any changes in their contact addresses.
18. Modifications on the Platform
- AlmaGlobal may, at any time and without prior notice, make improvements, substitutions or modifications in functionality or content (due to increased capabilities, regulatory compliance or compatibility with new standards).
- There will be no breach when modifications outside AlmaGlobal affect the operation, even disabling all or part of its use.
- For changes not motivated by regulations, AlmaGlobal will notify and grant one month for the Client to express its intention to terminate; failure to do so will be understood as tacit acceptance.
19. Miscellaneous
- Independence: the parties act on their own as independent entrepreneurs; there is no employment relationship, joint venture, franchise, agency, etc.
- Completeness: this Contract constitutes the entire agreement, superseding previous agreements/negotiations, except in the case of a separate contract.
- Preservation: the invalidity of a stipulation shall not affect the validity of the rest.
- Waiver: failure to exercise rights does not imply waiver unless otherwise stated in writing.
- Prevailing language: Spanish. In case of conflict with other versions provided as a courtesy, the Spanish version prevails.
- Updates: AlmaGlobal may periodically update this Agreement; it will provide notice of updates. It is the Customer's responsibility to review them. Continued use after notice implies acceptance. If you do not accept, you may not continue to use the Platform.
Jurisdiction and applicable law
- Applicable law: Spanish common law.
- Jurisdiction: courts of the Villa de Madrid (Spain), with express waiver of any other jurisdiction.
21. Definitions
- All definitions contained in this document are valid and applicable in the Contract.
- The singular includes the plural and vice versa when the context requires it.
- Capitalized terms:
- Agreement: these General Conditions, the Additional Conditions, the Offer and the Purchase Order under which AlmaGlobal provides SaaS services.
- AlmaGlobal: Almaglobal S.L.U., Calle Proción 7, Edificio América II, Portal 4, Plantas H, I, J, Madrid, 28023, RM Madrid tomo 29387, folio 99, hoja M-528963, NIF B86311693.
- Platform: technological infrastructure developed by AlmaGlobal for the provision of SaaS services.
- Customer: company or entity that contracts a subscription to the Platform and is listed on the Purchase Order.
- Purchase Order: document formalizing the contracting (Customer data, subscription price, etc.).
- Perimeter of Use: scope of the license (e.g., group companies covered). If limited, it shall be expressly stated in the Purchase Order.
- Subscription Period: duration of the contracted license of use.
- Services: document management services provided in SaaS mode.
- Confidential Information: information of any nature disclosed between the parties in connection with the Contract, whatever its format.
- Users: natural persons (employees, representatives, managers, directors, shareholders, consultants or agents) accessing the Platform on behalf of the Client.
- Subsidiary: entity that, directly or indirectly, controls, is controlled by or is under common control with one of the Parties (control: power to direct management and policies by participation, contract or otherwise).
